SAO PAULO – Atento S.A. (NYSE: ATTO), the largest provider of customer relationship management and business process outsourcing solutions (CRM/BPO) in Latin America and among the top five providers worldwide, today announced that its wholly-owned subsidiary, Atento Luxco 1 S.A. (the “Issuer”), intends, subject to market and other customary conditions, to offer Senior Secured Notes due 2022 (the “Notes”) in a private offering.
The notes will be guaranteed on a senior secured basis by certain of its wholly-owned subsidiaries. The Notes and the guarantees will be secured, subject to permitted liens and other limitations, by a first-priority lien on the capital stock of the Issuer and each of the guarantors within 120 days following the Issue Date.
Atento intends to use the net proceeds from the offering of the Notes to redeem all of the Issuer’s outstanding 7.375% Senior Secured Notes due 2020 and all of the existing debentures due 2019 of its subsidiary Atento Brasil and for general corporate purposes.
The Notes and related guarantees are being offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the “Act”), or outside the United States, to persons other than "U.S. persons" in compliance with Regulation S under the Act. The Notes and related guarantees have not been and will not be registered under the Act or the securities laws of any other jurisdiction and may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Act.
